Do I need to reserve a corporate name?

No, but it is encouraged. When organizing or certifying a corporation in Alaska, the names of the entity is automatically registered by the State. However, if you have a unique name for a business and want to reserve it until the proper paperwork is filed; reserving that name is recommended.

How do I reserve a corporate name?

The reservation of your corporate name will be handled by IncParadise and is included in the price of our service.

Do I have to renew my name registration?

Yes. The registration is renewable at five-year intervals by reapplying between October 1st and December 31st of the year of expiration. If you are a foreign corporation, it is renewable annually.

How do I incorporate in Alaska?

When using our service, IncParadise will file, on your behalf, the required administrative forms and articles of incorporation with the appropriate Alaska agency.

Is a registered agent required?

Yes, every corporation in Alaska must have a registered agent. An adult living in Alaska whose business is the same as the registered office or a corporation whose business office is the same of the registered office. As part of our ongoing service, IncParadise does provide a registered agent service option that you can select during the online registration process.

How many Incorporators are required to form a corporation in Alaska?

One person is all that is required in Alaska.

How many Directors are required for a corporation in Alaska?

One or more as designated by the bylaws unless specified by the articles of incorporation. If no number is specified, the default number is three.

Are corporations in Alaska required to file an Annual Report?

Yes. A biennial report must be filed every two years. The first report must be filed within 6 months after original incorporation.

What is an alien affiliate?

An alien affiliate is defined in AS 10.06.990 as

Affiliate: a person that directly or indirectly through one or more intermediaries controls, or is controlled by, or is under common control with, a corporation subject to this chapter.

Alien:
An individual who is not a citizen or national of the United States, or who is not lawfully admitted to the United States for permanent residence, or paroled into the United States under the Immigration and Nationality Act (8 U.S.C. 1101 – 1525, as amended):
A person, other than an individual, that was not created or organized under the laws of the United States or of a state, or whose principal place of business is not located in any state; or
A person, other than an individual, that was created or organized under the laws of the United States or of a state, or whose principal place of business is located in a state, and that is controlled by a person described in (1) or (2) of this paragraph.

Do I have to have directors?

You do not have to elect an initial director. If you chose to have initial directors they would be added in the optional provisions.

If initial directors have not been named in the articles of incorporation, the incorporator or incorporators may do whatever is necessary and proper to perfect the organization of the corporation until the directors are elected, including the adoption and amendment of bylaws of the corporation and the election of directors.
