  4. Apply for reservation of name pursuant to the provisions of 2017 Minnesota Statutes 322C.0109
  5. Submit the form through mail or online with the Office of the Minnesota Secretary of State along with the applicable fee. An LLC can reserve its name for a period of twelve months.

Step#3: Articles of Organization and Certificate of Authority

If you are planning to form a Minnesota business LLC then the most important step is to prepare and file the proper documents for a Limited Liability Company. The steps are:

  • If you want to register a domestic LLC then you will be required to file “Articles of Organization” governed by 2017 Minnesota Statutes, 322C.0201.
  • If your business entity is a foreign LLC then you will be required to file “Certificate of Authority” pursuant to 2017 Minnesota Statutes, 322C.0802.
  • The application or documentation for registration of LLC can be filed with the office of the Minnesota Secretary of State – Business Services, through mail, in person or online.

  • The application or documentation for registration of a corporation can be filed with the office of the Minnesota Secretary of State – Business Services, through mail, in person or online.
