NEVADA INITIAL & ANNUAL REPORT

If you are planning to form a Nevada business, especially a Limited Liability Company or a Business Corporation then
there are a variety of documents that you are required by the state to file. One of the important documents
that you have to file each year is an Annual Report, which is also known as a Nevada Annual List.

What is an Annual Report (Annual List)?

There are some states that don’t require the filing of this report by specific types of businesses but this is definitely not the case with Nevada. You have to file the annual list in this state but what is this annual list about or what information does it contain?

It is an Annual report and in this case an Annual List is a document that contains information regarding the business as well as its activities in the prior year. Annual reports contain the following information:

Limited Liability Company

An LLC shall, file with the Secretary of State, prior to the due date, Nevada Annual Report or a list that contains:

  • The name of your limited-liability company
  • The file number of your limited-liability company, if you know it
  • The names and titles of all the managers. If there are no managers then names and titles of all its managing members will be required
  • The address, either business or residence, of each of the manager members or managers will be listed
  • The list will be signed by a registered agent like us or the manager or managing member of the limited-liability company. Signing the list will certify that it is complete, true, and accurate.

The above is governed by Nevada Revised Statutes § 86.263.

Corporation (Domestic)

A business corporation shall, file with the Secretary of State, prior to the due date, Nevada Annual Report or a list that contains:

  • The name of your domestic corporation
  • The file number of your corporation, if you know it
  • The names and titles of all the president, secretary and treasurer, or position equivalent thereof, as well as of all the directors of the corporation
  • The address, either business or residence, of each president, secretary, treasurer, and director as listed
  • The list will be signed by a registered agent like us or the director or officers of the corporation. Signing the list will certify that it is complete, true, and accurate

Is there a Filing Due Date or Deadline?

The Secretary of State has defined the due dates for filing of the Nevada annual list in the state of Nevada. Different states have different due dates and they might or might not be the same for different types of business organizations.

Limited Liability Company

It is important to know that every LLC registered in the state of Nevada will be required to file the annual list with the Secretary of State. Let’s look at the filing deadlines or due dates to file Nevada annual report:

The due date for filing an annual report or list for an LLC is by the end of the LLC registration anniversary month pursuant to Nevada Revised Statutes § 86.263.

Example: If you registered your Limited Liability Company on April 15, then your annual report will be due each year by April 30.

Corporation (Domestic)

It is important to know that every LLC registered in the state of Nevada will be required to file the annual list with the Secretary of State. Let’s look at the filing deadlines or due dates to file Nevada annual list:

The due date for filing an annual report or list for a domestic business corporation is by the end of the registration or incorporation anniversary month pursuant to NRS § 78.150.

Is there a Late Filing Penalty of Annual Lists?

If you are unable to submit the annual list to the Secretary of the State by the due date as mentioned then both LLC and Business Corporations will be penalized.

It is important to know that the Secretary of State shall provide the LLC or business corporation a notice of the fee due for filing annual report as well as a reminder to file the list as required within the deadline. This notice will be sent 90 days prior to the last day for filing.

Let’s take a look into what the penalty entails:

Limited Liability Company

If a Limited Liability Company required to file an annual list along with the fee prescribed in Nevada Revised Statutes § 86.263 and 86.264, inclusive, fails to file then the Secretary of State shall deem the LLC to be in default pursuant to Nevada Revised Statutes § 116.31155 or 116B.620.

If an LLC is in default then they will be required to pay a penalty of $75 to file Nevada annual list.

The Secretary of State pursuant to NRS § 86.274 shall notify the registered agent through a written notice regarding the Limited Liability Company deemed to be in default. The written notice will include a statement that highlights the amount of the actual filing fee, the penalties incurred and any cost that remains unpaid.

The Secretary of State can also take a decision to ensure that the right to transact in the state is forfeited for the said LLC.

Corporation (Domestic)

If a business corporation required to file an annual list along with the fee prescribed in Nevada Revised Statutes § 78.150 to 78.185, inclusive, fails to file then the Secretary of State shall deem the corporation to be in default.

If a corporation is in default then they will be required to pay a penalty of $75 for filing an annual report.

The Secretary of State pursuant to NRS § 78.170 shall notify the registered agent through a written notice regarding the corporation deemed to be in default. The written notice will include a statement that highlights the amount of the actual filing fee, the penalties incurred and any cost that remains unpaid.

The Secretary of State can also take a decision to ensure that the right to transact in the state is forfeited for the said corporation.

What is the cost to file the Nevada Annual List?

The annual filing fee for LLC’s and business corporations is $150. If you are planning to expedite the filing of the Nevada annual report then there will be an additional fee of $125 fee for 24-hour service, $500 for a 2-hour service and $1000 for a 1-hour service.

However, the fee for business corporations can vary according to the total number of shares mentioned in the articles. The fee for a corporation is as under:

$75,000 or less – $150
Over $75,000 and not over $200,000 – $200
Over $200,000 and not over $500,000 – $300
Over $500,000 and not over $1,000,000 – $400
Over $1,000,000 – For the first $1,000,000 – $400 and for each additional $500,000 or fraction thereof – $275

Note: The maximum fee for filing annual reports in Nevada by Corporations is $11,125.
